<p>We&#8217;ll continue our look at Seal Software by tossing out a few more case examples for good measure, to show the breadth of applicability for this truly special product, starting first with M&amp;A. In an M&amp;A situation, Seal can enable new levels of visibility into all contract exposure areas before a deal is completed and then drive a rapid post-merger integration as soon as deals are complete. Based on speed, quantity of contract analysis and the amount of deals processed at any given time, Seal&#8217;s approach can enable contract visibility an order of magnitude faster than manual (or even other automated) approaches across many different contract fields and metadata (e.g., change of control, non exclusivity, escrow, end-of-life, auto renewals, most favored nation status, right of first refusal, limitation of liability, exclusivity, non-competes, non-solicitation, indemnity). A large law firm currently uses Discovery to reduce contract review time using bundled extraction rules.</p>

<p>In other use cases, Seal can complement existing solutions in the market such as Ariba Contract Management. A common shortcoming with CM, CRM and many P2P installations is that they are not capable of automatically importing and tracking necessary KPIs and clauses. As a result, the P2P tools don&#8217;t provide sufficient actionable visibility. The Discovery tool can be used to cleanse existing Ariba content, extract all details, and finally populate the original P2P application with key metadata to elevate the usefulness of the existing technology investment. Everybody wins!</p>
<p>It&#8217;s also a clever auditing tool in its own right. Using Seal, a Fortune 500 financial firm was able to carry out a rapid review of all contracts within a European subsidiary (with the surprising results that they have over 4,000 more contracts than expected), providing immediate ROI by causing material changes in behavior and renegotiation for both sales and procurement. A large multinational audit company uses the tool and has discovered hundreds of executed contracts that had gone undetected in prior audits. We plan to take a closer look at some clients and their specific stories in greater detail in the near future, but hope these examples have whet your appetite to learn how organizations are using Seal in the field.</p>
<p>Adding further pressure on their competitors, Seal does not sell its solution based on per-seat pricing, but bases its price solely on number of contracts under management. Unlimited user count, and the information can be consumed in any other company solution without restrictions. We really like this approach, as it avoids making CM a specialty function within the legal and procurement teams and helps drive broad adoption and visibility to end users that are in a position to best leverage the contract information.</p>

<p>The Seal Software company is founded and headquartered in England, with CEO Ulf Zetterberg packing his bags to relocate to California at the end of this summer. This signifies the importance of the US market to the company&#8217;s continued growth. Top management all have backgrounds heavy in technology and software, with several coming from OpenText, and EMC, the data storage company. The past year has been especially successful for the firm, giving the company solid traction with several substantial Fortune 100 class wins.</p>
<p>Spend Matters estimates that their Discovery product is potentially two full development cycles ahead of what is out in the market, so it will likely take their CM competitors a good deal of time to catch up to where Seal is in this area today. This might make them a potential acquisition target, even perhaps for a dark horse third-party (e.g., Adobe) to enter the contract management market from a highly unique angle.</p>
<p>Their Discovery tool is Java-based and set up to work with any contract management solution. Seal also has a mature contract management solution based on Microsoft SharePoint technology &#8212; this CM solution has a feature set that is on par with many CM solutions in the marketplace and should be especially appealing to those otherwise using SharePoint solutions. While the solution is not yet as well known as Upside, it is holding its own in some of the more complex deals in the market (including those involving the best known providers), and might prove a more attractive option compared to Ariba, Emptoris, Symfact and others, depending on requirements. We&#8217;ll take a deeper look at that later.</p>
<p>As I mentioned in the first part of this post, Discovery can be used in nearly any company, and it coexists nicely with other solution investments. With this addition to the CM suite, Seal has effectively elevated the level of this part of the profession and brought a new step to best practices. Let&#8217;s clarify that a little if you are still among the skeptics: previous approaches to CM analysis has been fraught with human error and the limitations of quickly capturing and analyzing large amounts of content. As a result, data points are ignored, and combined with 80/20 rules of prioritization, a large tail is often left unanalyzed. This easily creates CM installations with inadequate visibility to and tracking of critical KPIs, leaving end users dissatisfied and will either lead to &#8220;shadow technology&#8221; aka Excel/Access, etc. to stay on top of data points, and/or exposes companies to increased risk and losses.</p>
<p>No more. Seal has changed the game for contract discovery. We are glad to have come across such a novel approach to CM analysis, and we urge our readers to take a look at the Seal Discovery tool &#8212; we think you will be quite intrigued.</p>

<p>It isn&#8217;t every day that I get to write about a solution that every company of some size needs, no matter what they already have! This series is about a revolutionary way to really understand what is in contracts &#8212; either your own, or those of an M&amp;A prospect. It&#8217;s not about the standard elements of contract management (even though in this case, the vendor in question has those as well: authoring, clause libraries, repository, milestones, requests, alerts, dashboards, compliance, etc.). No, it&#8217;s about something just as &#8212; if not more &#8212; tangibly valuable, an approach to contract management that can likely deliver greater ROI and faster than any other solution in this area.</p>
<p>Moreover, with this approach, not only do you get to a nearly unprecedented level of insight, but it is done quickly in an automated manner. In two to three weeks, you get tens of thousands of contracts scanned and analyzed &#8212; we use the phrase &#8220;scanned&#8221; loosely because much of the power of the tool comes from automated scanning across a network &#8212; with full visibility into not only basic (yet critical) terms such as expiration and renewal dates, but also the type of contract, parties involved, assignability, insurance, indemnification, IP rights, discounts, start/termination dates, renewals, solicitations, value, rebates, liquidated damages and more. The standard results come back with around 40 core data points per contract (as applicable), and many more can be retrieved per specific client needs. The solution can even search on its own for contracts across a distributed desktop environment.</p>

<p>Once back, all your contracts regardless of format (PDF, TIFF, GIF, etc.) are now free text searchable. Again, the results are at your fingertips after a few weeks, not six months. There are of course other firms that could address this area too, but their cycle time is a magnitude longer, the data points retrieved are fewer, and their accuracy is arguably lower. Ultimately, the time to execute with quality data at an affordable price point is what makes such a dramatic difference. This is the difference between execution and avoidance. And this is the difference of Seal Software.</p>

I&#8217;m just excited to see such a disruptive tool that fits so nicely into the solutions portfolio of just about any firm out there. I can&#8217;t think of a reason not to use Seal since everybody above some size does M&amp;A, and this solution lets you rapidly get a grip on all contracts in place even before an LOI or definitive agreement is signed (e.g., searching a potential acquisition targets contracts to reduce risks by understanding change of control, non-exclusivity clauses, rights of first refusal, limitations of liability, indemnification and many other fields).</p>
<p>The process does not rely on a myriad of manual reviewers in a low cost (or high cost, for that matter) country. It is an automated process with sophisticated capabilities where only a small tail of exceptions have to be reviewed. This is the reason why so many contracts can be fully on-boarded and analyzed in a couple of weeks. Think of it as spend analysis that knows how to find what it&#8217;s looking for across text-based files.</p>
<p>As an example of the scalability, one global logistics organization with 170 locations in 70 countries and over 100,000 contracts uses Seal to analyze and manage their contracts.</p>
<p>Seal Software truly wowed us. And it&#8217;s not too often we&#8217;re this tickled by the cleverness of a given solution that does something different. Stay tuned as we look forward to sharing more in Part 2 of this post.</p>

<p>Increasingly complex compliance requirements, strict industry regulation and multi-jurisdictional legislation are driving the need for corporate legal departments to extract an expanding array of key information from large numbers of contracts – <span style="color:#33cccc;"><em>Contract Abstraction.</em></span></p>
<p>Many corporate legal departments lack the necessary tools, resources and time to undertake such an exercise themselves, so are increasingly driven to outsource these tasks to Legal Process Outsource (LPO) providers. But how do they achieve the end result sought? LPOs typically employ low cost, off-shore resource to undertake the process manually. Allowing sensitive documents off-site is not something many are keen to consider, nor does the process actually happen any quicker.</p>
<p>The business need for an on-premise, technology-driven, automated solution has long been recognised; until now it has not existed.</p>
<p><strong>Introducing Contract Discovery</strong><strong></strong></p>
<p>Before contracts can be managed, the key terms and milestones, or metadata, contained within them must first be identified and understood. And even before this, there is another critical step – Contract Discovery. You cannot manage what you don’t know about.</p>
<p>Most organisations, when undertaking a Contract Discovery project, soon realise that they have far more contracts than they first thought. Whatever the reason, turning to others to help out is often the line of least resistance.</p>
<p>It could take days, weeks, months or longer to build up the necessary domain expertise to address the intricacies of, for example, building a new go to market channel in an overseas geography. There are many experts with the experience, the skill, the knowledge and the contacts to help circumnavigate what could otherwise be a treacherous path.</p>

So it is not surprising that the parties to a contract focus so strongly on the question of who will be liable for the consequences of failure.”</em></strong> So says the opening statement of the International Association of Contract and Commercial Management’s (IACCM) report “2011 Top Terms in Negotiation”.</p>
<p>Each year the IACCM conduct a survey to establish the most frequently negotiated terms and conditions of contracts. For many years, the top three have consistently been:</p>
<ul>
<li>Limitation of Liability</li>
<li>Indemnification</li>
<li>Price/Charge/Price Changes</li>
</ul>
<p>Now this raises a question – if so much effort is placed on these three elements of a contract, then surely these must be important to an organisation? Why else would they expend the effort to negotiate the terms into the contract to begin with? But therein lies a problem – perhaps there’s a need to change behaviours going forward, but what about the hundreds, maybe thousands or even tens of thousands of contracts that are already in place?</p>
<p>Does any organisation truly have control over these top terms for contracts that have perhaps been in place for many years? Contracts that have renewed many times and may have been the source of many a price hike!</p>
<p>Are such organisations getting a fair deal, at least in terms of the contracts that they fought so hard to negotiate in the first place? Probably not is the common answer that we see. If you don’t know what’s in the contract, or even how many contracts are still effective and binding, how can you possibly know if the terms you sweated to enshrine are working for your benefit?</p>

<p><em>The IACCM study was undertaken in the period December 2010 – April 2011 and the results are based on input from 1,123 organisations, representing more than 8,000 negotiators. <p>As information is the most important asset for many industries and organisations, the race to manage information, in a proactive way has never been more challenging. The biggest challenge of all emanates from the sheer volume of information inside any organisation today.</p>
<p>Over recent years, contract management processes within global enterprises have become increasingly important and more complex. Many drivers have contributed to this change, such as increased business-to-business transactions and the need to lower supplier risk, due to potential corporate litigation and penalties for breaching industry regulations.</p>
<p>A major challenge for most is poor visibility into contracts and a lack of tactical and strategic intelligence, combined with the fact that contracts today typically do not reside in a central repository. More likely these contracts reside in multiple locations, in both digital and hard copy files, in paper archives, and even in some cases, outside the organisation’s physical boundaries.</p>
<p>Contract visibility creates a paradox for most organisations. On the one hand this requires management and monitoring of access and protection to ensure accuracy of data. To ensure integrity, contracts need to be locked down from a security perspective. But, on the other hand, contracts must be accessible to support the business and to make sure the contracts are adhered to, with visibility both inside the organisation, and at times, also for parties outside the organisation.</p>
<p>It is not hard to imagine and appreciate the challenges this could create in large or midsize organisations, with thousands of contracts spread out across major divisions/departments, over geographically disparate locations. The issue of contract visibility, security and risk management is beyond the scope of management by humans, with only fragmented manual processes to support them.</p>
<p>Contrary to the famous saying, “What you don’t know can’t hurt you”, this approach to performance management leads to “under-the-radar” problems, hidden costs and liabilities, which can remain unobserved within an organisation for years. These time bombs can have major impacts in reducing profitability; by increasing cost through inefficiency and leaving the organisation open for unsuspected disputes or litigation.</p>
<p>The picture doesn’t need to be so dark, there is hope and help for all. The study outlines some very pragmatic and straightforward actions that in most cases are readily achievable and provide a rapid return on investment (ROI).</p>

				<content:encoded><![CDATA[<p>Right now, most organizations are trying to finalize budgets and plans for 2012 and it’s more challenging than ever. These times of financial turmoil and uncertainty put unprecedented pressure on revenue planning, cost-control and investment during 2012.</p>
<p>Critical planning assumptions will be based on the judgment of which contracts can bring in revenue and what cost has been contracted already.</p>
<p>Knowing and understanding all of your contracts is vital to your organisation being able to plan proactively and accurately.</p>
<p>A monumental effort goes into creating contracts and negotiating favorable terms and conditions; without systematic controls in place much of this negotiated advantage is squandered.</p>
<p>Budget and planning are critical to your business and yet many companies still lose control of their contracts and pay the price. The objective of tightly controlled budgets and controls is to put the business in the driving seat;. the worst scenario is to discover an unavoidable contracted cost that has not been included in the new budget. I think we’ve all been there.</p>

<p>In the contract management world we sometimes overlook how managers responsible for project delivery engage with contracts. After all Project Managers govern work with budgets as big as the turnover of a medium size corporation and the contracts are the fabric of what needs to be done.</p>
<p>In this white paper we take a visionary look at the interaction of Project Mangers and their project contract portfolios, in particular three ways where we believe Contract Lifecycle Management software can help deliver business value.</p>
<p>At the highest-level contract management software helps to master the complexity both of managing multiple contracts for a single business relationship as well as in building a portfolio of sub-contractors to deliver the work.
